By engaging with Shopaeo LLC ("Company", "we", "us", or "our") for technology services, you agree to these Terms & Conditions. These terms govern our provision of full-stack technology solutions, trading systems, and related services to enterprises and financial institutions.
2. Service Scope
Shopaeo LLC specializes in delivering comprehensive technology solutions including:
- Institution-grade trading platforms (matching, market-making, risk & margin, accounts & clearing)
- High-performance Charting SDK for Web, desktop, and mobile applications
- Social-commerce platforms with content-to-commerce integration
- Real-time communications systems (IM, WebRTC, push notifications)
- Private AI and automation solutions with on-premises deployment support
- Blockchain products (NFTs, wallets, smart contracts, dApps, on-chain analytics)
- Technical consulting and 24x7 support services
3. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and technical specifications
- Ensuring compliance with applicable financial regulations and data protection laws
- Maintaining appropriate security measures for their systems and data
- Providing timely feedback and approvals during development phases
- Respecting intellectual property rights and confidentiality agreements
4. Intellectual Property
All proprietary technology, algorithms, code libraries, and methodologies developed by Shopaeo LLC remain our intellectual property. Clients receive appropriate licenses for their specific use cases. Any pre-existing client intellectual property remains the property of the client.
5. Data Security & Compliance
We implement enterprise-grade security measures including:

7. Payment Terms

- All payments are due according to the terms specified in the individual service contract
- Late payments may incur additional fees and service suspension
8. Confidentiality
Both parties agree to maintain strict confidentiality regarding:

- Financial information and transaction data
- Any other information marked as confidential
9. Limitation of Liability
Our liability is limited to the total amount paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages. This limitation does not apply to gross negligence or willful misconduct.
10. Termination
Either party may terminate services with 30 days written notice. Immediate termination may occur for material breach of contract, non-payment, or security violations. Upon termination, clients retain access to their data and intellectual property.
11. Governing Law
These terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Changes to Terms
We may update these terms with 30 days notice. Continued use of our services constitutes acceptance of updated terms. Material changes will be communicated via email and our website.
